AFFILIATE TERMS & CONDITIONS OF AGREEMENT
1. Nature of Membership. During the membership, Affiliate may receive messages from time to time regarding persons seeking legal advice who have completed a form developed by AskALawyer.com, LLC. (”AAL”) and seeking legal information (”Consumers”). Messages from Consumers will be forwarded to the Affiliate’s assigned e-mail account on the AskALawyer.com website (www.AskALawyer.com) based on (i) information supplied by the Consumers, including type of legal issue and geographic location, and (ii) information supplied by the Affiliates, including area of practice, geographic location, and other factors. The Inquiry transmittal process is automated through the AskALawyer.com website.
2. Relationship. AAL is a joint advertising service only, and does not practice law, render advice or refer clients to lawyers. Use of the Program does not establish any attorney-client relationship between any Affiliate and any Consumer seeking information.
3. Representations and Warranties of the Affiliate. Affiliate represents and warrants that Affiliate is entitled to practice law and is in good standing with the state bar or applicable regulatory agency in his/her respective state of practice. If, during the term of Affiliate’s membership, Affiliate’s status changes so that he or she is no longer entitled to practice law, whether by disbarment, suspension, resignation or otherwise, Affiliate shall immediately notify AAL, and consents that his membership shall be suspended until Affiliate is entitled to practice law, with no refund of fees paid.
4. Account Default / Payment Delinquency. Should an Affiliate default on an account payment or fail to provide the Company with payment for services rendered, the Affiliate’s account may be referred to a collection agency to collect on the debt. For accounts that are sent collection, the Affiliate may be responsible for 100% of the cost of the membership fee plus any additional services costs and additional fees, as well as possible negative credit reporting and/or legal actions. For check payments, AskALawyer.com, LLC is accepting the check in good faith from the Affiliate.
5. Transferability of Membership; Assignment of Agreement. This Agreement may not be assigned, and Affiliate may not allow any other person to access the AAL System through his email username or password.
6. Termination: AAL or Affiliate may terminate this agreement at any time for any reason upon 30 days written notice.
7. Indemnity: Affiliate shall defend and indemnify AAL (and all of AAL’s officers, directors, agents, subsidiaries and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature caused by Affiliate.
8. Arbitration: Any controversy or claim arising out of or relating to this Agreement or the breach thereof shall be settled by arbitration in Dallas County, Texas.
