1. Operating Agreement - What to do with it: Do not file it with the State of Colorado. Colorado does not require or accept filing of LLC Operating Agreements. The Operating Agreement is for your internal business records only. Keep signed copies in your LLC’s business records (digital and physical). You may provide a copy to your bank, accountant, or lawyer if needed.
2. Adding your husband as a member: Since you’re changing the ownership or management structure, you should update your state filings. File an “Amended Articles of Organization." Colorado does not require listing all members publicly, but if member names were included originally, they should be included.

A single-member LLC is treated as a disregarded entity for tax purposes. Once you add a second member, the IRS treats the LLC as a partnership by default. Because the tax classification changes, the IRS requires a new EIN.

How to Get a New EIN:

• Apply online with the IRS — it’s free and immediate.
• Choose “Limited Liability Company” and list two members.

Colorado is not a community property state, so adding your husband as a true co-owner requires a new EIN. The old EIN remains on record and is not canceled.
