Solved

If the operating agreement treats her as a member, the removal path usually depends on the agreement’s expulsion or dispute provisions, a documented notice of breach, and a vote or other stated procedure, while if she is not actually a member you can treat her as a nonmember contractor and terminate access and authority. If she refuses to step away, the LLC can pursue enforcement of the operating agreement and, if needed, ask a court for relief like an injunction to stop interference, plus separation through a buyout or dissociation if the agreement allows it.

The most important facts are the exact sections she breached and whether the agreement gives her any ownership, voting rights, management role, or access to the premises and accounts. Your next step is to pull the operating agreement and list the breached sections and dates so you can follow the removal process exactly and stop further damage to the business. Breach of Contract Notice

Full Conversation

Hey team. I need support with my mother's Washington LLC.

She has a partner who is not on the incorporation documents but is included through the operating agreement. The partner has been breaching the operating agreement and is not a good fit for the business. What are our options to get the second partner removed from the business? It is a brick-and-mortar home goods store.

I understand how challenging it can be to deal with partnership issues in a business. Can you tell me how long the partner has been involved in the LLC?

She has been involved for 3–4 months.

Have there been any formal communications or attempts to address the breaches of the operating agreement with the partner?

Through text, phone call, and in person. The partner has been accusatory, slandering, and distrustful toward my mother, the owner. She is demanding they split the physical space and run two shops out of it, which simply won’t work. When confronted about the breach of the operating agreement, she continues to make excuses and does not take ownership.
