You should use a combined Independent Contractor, IP Assignment, and Confidentiality Agreement drafted in favor of your LLC. Below is a clean US-based template structure you can customize. You should still have a business attorney review it before using it.

Important Legal Notes for You

  1. Make sure your LLC name is exactly correct as filed with your state.

  2. Always include “work made for hire” language plus a backup assignment clause.

  3. If you ever work with minors (common on Roblox), additional parental consent language is required.

  4. If contractors are outside the US, jurisdiction and enforcement become more complex.

  5. Keep written proof of Robux payment agreements.

I understand that creating a contract for IP assignment and confidentiality is important. What type of intellectual property are you looking to assign?

Digital assets such as 3D models, programming, art, names, and concepts.

Are there any particular terms or conditions you want included?

They will be paid using the ROBLOX virtual currency “Robux” during their time working with us to create the assets. We will retain the rights to their IP after termination of their time working with us.

I’ll be happy to help you today. Please note this discussion is for general guidance only and does not create an attorney-client relationship. You should retain local counsel before relying on any contract.

Do you have any additional information that would assist in reviewing your situation?

I operate a small business under a single-member LLC that performs game development primarily utilizing the ROBLOX platform. It is common for developers on this platform to use virtual currency for compensation and then use the Developer Exchange to convert it to real money. That process is independent of my company, as they are considered independent contractors of Roblox when doing so.

I want the people working with me to sign an IP transfer agreement to ensure my business owns the rights to the content they create for my game, including scripts, 3D modeling, graphic design, art, names, and concepts. I also want confidentiality to protect internal communications, development assets, and personal information.
