You can have one Arkansas single-member LLC operate two different brands, and you can have four people running the day-to-day work without turning the LLC into a partnership, as long as only one person is actually the owner/member for tax purposes.

Under IRS rules, a domestic LLC with one member is disregarded for federal income tax by default, while a domestic LLC with two or more members defaults to partnership tax treatment unless it elects corporate treatment.

So the key question is not "how many people are working in the business?" It is "how many owners does the LLC have?" If only one person owns the membership interest, the LLC can still be single-member even if other people help run operations as employees, independent contractors, or managers. The IRS also says a single-member LLC remains disregarded for income tax unless it elects to be taxed as a corporation.

The cleanest version of what you seem to want looks like this:

  • 1 Arkansas LLC
  • 1 member/owner only
  • 2 brands operated under that LLC
  • 4 workers/operators total, with 2 assigned to each brand

The 4 operators are treated as employees, contractors, or managers, not owners

That structure is generally consistent with avoiding partnership tax treatment, because the IRS partnership default kicks in when there are two or more owners/members, not merely two or more workers.

For Arkansas formation, a domestic LLC files a Certificate of Organization with the Arkansas Secretary of State (AR Code § 4-38-201). The current fee is $45 online or $50 on paper. Arkansas also charges LLCs an annual $150 franchise tax/report, due May 1 each year. Arkansas's SOS also lists a fictitious name filing for a domestic LLC at $22.50 online or $25 on paper, which is the filing you would normally use for a brand name/DBA.

I understand that setting up a single-member LLC can be quite complex, especially with multiple brands involved. Can you tell me which state you plan to establish the LLC in?

Arkansas.

Are all four individuals involved in the brands going to have any ownership or management roles in the LLC?

That's what I'm trying to figure out. How does it work? I want to avoid partnership tax stuff.
